Job Overview

Cowen’s Legal Department is seeking a broker-dealer lawyer to join its London Legal Team.  The successful candidate will have the opportunity to gain a broad exposure to all aspects of the firm’s UK and Hong Kong based institutional broker-dealers. The position will include primary responsibility for a wide variety of legal issues impacting the firm’s trading and markets businesses in those locations. This role will report into the Firm’s General Counsel located in New York and will interact with all levels of professionals within the organization.

Key Responsibilities:

  • Negotiate a wide variety of client agreements, including execution, prime brokerage, outsourced trading, and account control agreements as well as other types of transactional and service contracts
  • Negotiate agreements with counterparties, custodians, and vendors in the UK, the EU, Asia, and the Middle East, including ISDAs, local broker agreements, securities finance agreements, custody agreements, and other vendor agreements
  • Advise business executives on legal and regulatory issues
  • Work collaboratively with the Compliance team to solve compliance
  • Liaise with Onboarding, Operations, Finance, Risk and Technology teams
  • Work closely with Cowen’s US-based broker-dealer lawyers
  • Manage interactions with outside counsel

Job Requirements / Qualifications:

  • Qualified to practice in UK
  • Significant experience in PQE although strong candidates with less experience will also be considered
  • Minimum of 2-4 years of law firm experience in a financial services practice group; or 2 years of equivalent in-house experience.
  • Exceptional written and verbal communication skills, including contract drafting required.
  • Experience with financial services clients, especially institutional broker-dealers, is preferred.
  • Working knowledge of FCA rules (including CASS), MiFID, EMIR, GDPR, and other laws, rules and regulations affecting broker-dealers is preferred.
  • High levels of ethics, integrity and judgment.
  • Ability to comfortably interact with senior management and various levels of professionals and other staff.
  • Comfortable in and committed to a teamwork environment.
  • Highly organized, detail oriented and proactive.
  • Entrepreneurial attitude with the ability to be a self-starter and to take initiative and the flexibility to work outside one’s comfort zone on new projects and areas outside of expertise
