Convertible debt provides public companies with an opportunity to sell equity at a significant premium to the market price at the time of the offering.  In exchange for selling equity at a premium, the issuer is required to pay semi-annual coupons on the security until the security is either converted into shares by investors or is redeemed by the issuer.  The convertible debt new issue market is available to most companies that can access the public equity markets.
