You will be assigned to one of the Investment Banking groups described below, but will work closely with professionals from other groups on almost all transactions. Cowen and Company’s Investment Banking professionals work with our clients to finance mergers, acquisitions, leveraged buy-outs, capital projects or expansions, research and marketing initiatives, etc. Working in Investment Banking often involves analyzing the financial position of a company, studying the competitive structure of its marketplace and developing income/expense projections. This work is the foundation for developing proposals to clients on how to structure equity and/or debt capital transactions and, eventually, implementing them. Investment Banking analysts typically work on the research, analysis and document drafting elements of a developing transaction, often as part of a two-three person team that includes an associate and senior professional. Analysts are also strongly encouraged to contribute ideas during the overall transaction process as they gain experience and knowledge. Analysts may participate both in presentations to clients and on Cowen’s internal committees for management review of proposals. Associates often lead transaction or “deal” teams at the proposal-to-client stage and at the execution stage, when a client has selected Cowen to line up institutional and/or private investors and execute transaction such as the sale of stock. Associates are responsible for seeing and developing opportunities for new business and for maintaining ongoing business relationships with clients. We are organized into the following industry and product groups: Corporate Finance We focus on selected industries where we can leverage our resources to add value for our clients. Teams of experienced senior investment bankers, who can provide a full range of products and services, cover the following industry groups: We are able to distinguish ourselves from larger competitors due to our focus on select high-growth industries. This effort is supported by Cowen's superior research coverage. Equity Capital Markets, Private Equity The Equity Capital Markets Group is responsible for advising prospective issuers on raising public and private equity and equity-linked capital. The group is active in both the origination and execution of new issues, working in partnership with senior bankers. They also work closely with Sales, Trading and Research. Mergers & Acquisitions M&A professionals are part of each corporate finance group and provide objective advice to clients on how to proceed with a merger, purchase or sale transaction. They also arrange appropriate financing. M&A can involve a wide range of financial vehicles in the private or public markets, including the issuance, exchange or purchase of stock, and the issuance of debt.
